Terms of Service

1. Services Description

Planistry provides analytics, projections, and interpretive insights based on business data supplied by you or ingested at your direction. The Services are intended to support operational understanding and decision-making and do not replace professional judgment.

2. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of account credentials
• Ensuring that data you provide or authorize for ingestion is accurate and lawful
• All activity conducted through your account

3. Data Inputs and Accuracy

Planistry processes data provided by you or sourced from third-party systems configured by you. Planistry does not independently verify source data and disclaims responsibility for inaccuracies originating outside its systems.

4. Insights, Projections, and AI Outputs

Outputs provided by the Services:

• Are informational and interpretive in nature
• Do not constitute legal, financial, or operational advice
• Do not guarantee outcomes, performance, or results

You remain solely responsible for decisions made based on information provided by the Services.

5. Intellectual Property

Planistry retains all right, title, and interest in the Services, including all software, models, methodologies, and derivative works.

You retain ownership of your underlying business data. You grant Planistry a limited, non-exclusive license to process such data solely to provide and improve the Services.

6. Data Export

You may request an export of your data at any time by contacting support@planistry.ai. Data exports will be provided in a commonly used format within 30 days of request.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes
• Interfere with system security or integrity
• Reverse engineer, copy, or misuse proprietary systems or outputs

8. Fees and Payment

Certain features of the Services may require payment. Fees, billing cycles, and payment terms will be communicated at the time of subscription. Planistry reserves the right to modify pricing with 30 days advance notice. Unless otherwise agreed, fees are non-refundable.

9. Beta Features

The Services may include beta or early access features, which are provided "as is" without warranty. Beta features may be modified or discontinued at any time without notice.

10. Service Availability and Changes

The Services may be modified, suspended, or discontinued at any time. Planistry does not guarantee uninterrupted or error-free operation. Planistry targets reasonable availability but does not provide a formal service level agreement at this time.

11. Termination

Either party may terminate these Terms with 30 days written notice to support@planistry.ai. Upon termination, your access to the Services will end. Your data will remain available for export for 30 days following termination, after which it may be deleted.

12. Limitation of Liability

To the maximum extent permitted by law, Planistry shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to use of the Services.

13. Indemnification

You agree to indemnify and hold harmless Planistry from claims, damages, and expenses arising from your use of the Services or violation of these Terms.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute shall be brought exclusively in the state or federal courts located in Delaware.

15. Updates to Terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.
